1. Acceptance of Terms

By registering for, accessing or using the VidyaSMS platform, APIs or website, you agree to be bound by these terms on behalf of yourself and the organisation you represent.

2. Account and Eligibility

You must be a legally registered business or an individual aged 18 or above. You are responsible for the accuracy of KYC information, for safeguarding your credentials and API keys, and for all activity under your account.

3. Acceptable Use

You may not send unsolicited, unlawful, defamatory, obscene, misleading or fraudulent content; impersonate any person or brand; send messages to numbers obtained without consent; or attempt to bypass DND, DLT or operator regulations. Violation may result in immediate suspension without refund.

4. Regulatory Compliance

All messaging through VidyaSMS is subject to TRAI regulations, the DLT framework, and applicable operator policies. You are responsible for obtaining recipient consent and for the accuracy of registered headers and templates.

5. Credits, Billing and Validity

Message credits are prepaid unless otherwise agreed in writing. Credits are non-transferable and are valid for the period stated at purchase. Prices are exclusive of GST and may be revised with prior notice.

6. Service Availability

We target 99.99% platform availability but do not guarantee delivery of any individual message, as final delivery depends on operator networks, handset status and regulatory filters.

7. Limitation of Liability

VidyaSMS's aggregate liability for any claim is limited to the amount paid by you for the affected service in the preceding one month. We are not liable for indirect, incidental or consequential losses including loss of business or revenue.

8. Termination

Either party may terminate with written notice. We may suspend service immediately for regulatory violations, non-payment or abuse.

9. Governing Law

These terms are governed by the laws of India, with exclusive jurisdiction in the courts of Bengaluru, Karnataka.
